DEFINITIONS

For purposes of this section the following capitalized terms shall have the following meanings:

“Affiliate” means in relation to genereight, any person, corporation, partnership, joint venture or other entity which is, directly or indirectly, owned or controlled by, which owns or controls, or is under common ownership or control with genereight.

“Contributors” means such individuals including, without limitation, translator(s), performer(s), photographer(s), artistic director(s), music director(s), and any other collaborator(s) engaged by genereight in the performance of services.

“Intellectual Property Rights” means all rights, whether vested or contingent, in the nature of patents, copyrights, design rights, trade marks, service marks, trade secrets, know-how, database rights, actual property rights (whether registered or unregistered) and all applications for the same, all economic rights, neighboring rights, connected rights and rights of exploitation of whatever kind and in any manner now known or hereafter devised anywhere in the world.

“Original Materials” means any form of sentences, articles, texts, documents, photos, images, video and/or digital elements containing such genereight owned or licensed written, designed, filmed or otherwise recorded content(s) as well as marketing and promotional content relating to such content(s) which are provided to genereight and it's website for the performance of the Services.

All content on genereight website, including the images, artwork and text files, is property of genereight or is licensed to genereight. The content may be protected by copyright and other restrictions as well.

Genereight permits the copying, downloading, or other use of any protected materials only for the purposes of fair use in the manner described below, or, in the case of commercial use, with the express, written permission of genereight.

All Original Materials produced and provided by genereight and it's Affiliate and/or Contributors on the website are property of genereight or are licensed to genereight. All Original Materials shall upon creation, at all time be and remain the exclusive property of genereight, it's Affiliates and/or Contributors.

Original Materials and such content(s) shall be protected by copyright and other Intellectual Property Rights as well.

Genereight permits the copying, downloading, or other use of any protected Original Materials and such content(s) only for the purposes of Fair Use in the manner described in Warranty section, or, in the case of commercial use, with the express, written permission of genereight.

Warranty

By downloading, printing, or otherwise using Original Materials and such content(s) from the genereight website, user(s) agree and warrant that they will limit their use of such file(s) to Fair Use mentioned in this section and will comply with all other terms and conditions of this license as to not violate the rights of genereight and/or it's Affiliate, Contributors and/or any other entity. Genereight does not guarantee the legal use of text, images and content displayed on the website owned by third parties not affiliated with genereight.

Fair use of the content(s) of the genereight website is permitted as follows:

Fair use of copyrighted material means that users who want to print, download or use image, text, or other files from the genereight website may do so for non-commercial and educational purposes or for personal use, and otherwise as defined by copyright and/or Intellectual Property Rights law.

For example, the website Original Materials and such content(s) may be used to teach, to research or write a school paper, for criticism or commentary, and for news reporting. User(s) may also print out, read or post genereight website content at home or in school. User(s) may do so without express, written permission from genereight, as long as they comply with the following conditions:

1. Original Materials and such content(s) may be used for personal, educational, and/or noncommercial purpose(s) only and source(s) must be cited as with any other printed work.

3. None of the content may be changed or modified in any way.
4. Users must also comply with any other restrictions that may apply to the individual file, image, or text. genereight reserves the right to place other restrictions on the use of its property. The details of such restriction will be clearly indicated when it applies to any particular individual file, image, or text.
5. User(s) agrees not to assert any ownership rights (including, without limitation, any Intellectual Property Rights) in such Original Materials or the content(s) of such Original Materials at any time thereafter.

Commercial use of the content of the genereight website is restricted

For any use other than fair use as mentioned, express, written permission must be obtained. Commercial use includes making or selling copy(copies) of the website for commercial gain, and Original Materials and such content(s) including files, text, or images as part of a product or service that created or distributed, including publication of content on other websites.

Genereight shall grant permission for such commercial use on a case-by-case basis at the sole discretion of genereight. A licensing fee shall be assessed depending on the proposed type and nature of use.

In some cases, express permission from other persons or entities may need to be obtained.

Trademarks

Many of the trademarks, service marks, and logos (collectively, the "Trademarks") displayed on the website, including the genereight logo, are registered and/or unregistered common law trademarks of genereight. The trademarks of third parties may also be displayed on this website. Nothing contained in this website should be construed as granting, by implication or otherwise, any license or right to use any Trademarks displayed on the website without the express written permission of genereight or any third party that may own the Trademarks displayed on the website. Disclaimer

The Original Materials and such digital content(s) on the website are provided "as is" without a warranty of any kind, either expressed or implied, including but not limited to the implied warranties of fitness for a particular use, and/or non-infringement. Genereight assumes no responsibility, and shall not be liable for any damage to or viruses that may infect computer equipment or other property on account of use of the site or downloading of any text, images or content from the website.

INDEMNITY

User(s) agrees to indemnify, defend and hold harmless genereight and genereight’s Affiliates, Contributors and their respective owners, principals, directors, officers, employees, agents and representatives from any and all liabilities, damages, losses, expenses, demands, claims, suits or judgements, including without limitation reasonable legal fees and expenses, in any way arising out of or related to:

Any failure by User(s) to comply with applicable laws, regulations, and codes as required.

Any claim arising out of the breach by User(s) of any representations, warranties, covenants or other terms and conditions.

User(s)’s negligent or wilful misconduct in notification to genereight.

Privacy Policy

Like most website operators, genereight collects non-personally-identifying information of the sort that web browsers and servers typically make available, such as the browser type, language preference, referring site, and the date and time of each visitor request. genereight’s purpose in collecting non-personally identifying information is to better understand how genereight’s visitors use its website. From time to time, genereight may release non-personally-identifying information in the aggregate, e.g., by publishing a report on trends in the usage of its website.

Cookies- A cookie is a string of information that a website stores on a visitor’s computer, and that the visitor’s browser provides to the website each time the visitor returns. genereight uses cookies to help genereight identify and track visitors, their usage of genereight website, and their website access preferences. Injunctive Relief:

Notwithstanding the foregoing, genereight shall be entitled to seek injunctive relief in the district courts of Tokyo, Japan. Any Dispute or portion thereof, or any claim for a particular form of relief that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in Japan.
